EULA - End User License Agreement

This EULA (End User Licensed Agreement) is a legal agreement between Software Imperial and Users (organizations, corporates or individual identity) in regard to the software (upgrades, modifications, copies, patches, if any) or related documentation (written, electronic form) licensed to you by Software Imperial.

Terms and Conditions

Read carefully all the terms and conditions given below, before downloading, installing or utilizing any products offered at Software Imperial. If you don’t agree to any of these terms and conditions, then don’t download, install, copy or distribute the software (licensed copy included). Your use of software depends upon your compliance with the terms and conditions of this license agreement.

If you have the unused pack of the software with unused activation key, then you can return the complete package within 30 days of purchase and request for full refund of your payment. The terms and conditions of this agreement provides details pertaining to the permitted use and eligible users of each licensed copy the software.

Scope of License

Once purchased, you become eligible to use the non-exclusive license of the product. Each licensed copy of the software is to be used either by a single user or by multiple users, depending on the licensed purchased.

• Single User License (Personal License): If you have purchased Single User license, then you can use the software for non-commercial purposes in non-business or non-corporate environment, as set forth in the License Agreement . This license can be activated on a single computer only and is non-transferable to any other system.
• Multi User License (Business / Corporates / Government Organizations / educational Institutions): If you purchase the Technician / Enterprise license of the software, then you become eligible to use the product on multiple computers within one office or different offices located at different geographical location as per the license purchased terms.

Registration Code

Registration Code is a unique file provided to you by us, confirming you purchase of software from us. It holds the complete information about the license key and full functionality of the software according to the License agreement. The registration code holds the confidential copyrighted information of SoftwareImperial. You agree not to copy, transfer, disclose, provide, or make available this information in whole or in part to any third party without prior notification and consent of Migrate2Office365. You hereby agree to implement reasonable security methods to safeguard such confidential material provided to you by Software Imperial.

Warranty, Disclaimers, Liability Limitations

Software Imperial and all its products are provided AS IS. No warranty of any type is expressed or implied. You will be using the software at your own risk. Software Imperial or its suppliers, in no event, will not be held responsible for any consequential, incidental, special, indirect loss, damage, of any kind arising due to delivery or working of the software.

General

The license agreement shall be governed by the law of the State of Delhi, India. Special jurisdiction and the venue of all matters pertaining to this license shall be in courts, in the state of Delhi, India and you agree to such jurisdiction and venue. There are no third party beneficiaries represented by Software Imperial and this License is a complete declaration of agreement between parties of the subject matter and merges all earlier understandings, purchase, orders and arrangements.

In case of invalidity of any of the provision of this license, both the parties agree that such invalidity shall not affect the validity of the remaining portions of this License Agreement.
